Copilot Connector — User Agreement

1. Parties

1.1 This Agreement governs the relationship between Fortnox customers (the "End User") and Sidcom AB, a company registered in Sweden under company registration number 559504-0840 (VAT SE559504084001) (the "App Developer"), being the Fortnox App Partner from which the End User has acquired the right to use the Licensed Application (the "App") through Fortnox App-market.

2. Background

2.1 Fortnox AB ("Fortnox") develops and provides internet-based programs and services for finance and administration.

2.2 Fortnox also offers the App to the End User through Fortnox App-market.

2.3 Apps offered through Fortnox App-market grant the End User a right to use them provided that this Agreement is entered into between the End User and the App Developer. The End User may also need to enter into the App Developer's Supplementary Agreement. By "Supplementary Agreement" is meant that the App Developer and the End User may agree on additional matters not covered by this Agreement.

3. App Developer's Obligations

3.1 The App Developer shall not use the App to gain unauthorised access to, disrupt, or introduce computer viruses, worms, Trojans or any other malicious code into the End User's hardware and/or systems.

3.2 The App Developer shall not use the App, or the End User's products and/or services, in any manner that may cause harm to the End User.

3.3 The App Developer shall not use the App in violation of, or in a manner that suggests violation of, applicable laws and regulations, or otherwise in a manner unfavourable to the End User.

3.4 The App Developer undertakes to provide the App, integrated with Fortnox, to the End User in accordance with this Agreement and any Supplementary Agreement.

3.5 The App Developer undertakes to provide support to the End User regarding the App. Support requests are handled at hello@sidcom.ai.

4. End User's Obligations

4.1 The End User is obliged to follow applicable written instructions regarding the use of the App.

4.2 The End User is responsible for keeping all credentials and access tokens used with the App in a secure manner. The End User is responsible if any unauthorised party gains access to the App via the End User.

4.3 The End User shall not use the App in an unlawful manner or in any other manner that may cause harm to the App Developer and/or Fortnox.

4.4 The End User shall use the App only for lawful purposes and only in accordance with the terms of this Agreement and any Supplementary Agreement.

4.5 The End User acknowledges that the App executes actions in Fortnox on the End User's behalf as instructed by the AI assistant the End User has connected (e.g. Microsoft Copilot). The End User is responsible for reviewing AI-initiated actions that create, modify, or delete data.

5. Intellectual Property Rights

5.1 This Agreement does not in any way mean that copyright or other intellectual property rights to the App are transferred to the End User or any other third party.

6. Availability

6.1 The App Developer undertakes to provide the App to the End User on a 24/7 basis, year round, in accordance with the same availability requirements that Fortnox has undertaken towards the End User. Fortnox's availability guarantee is set out in Fortnox's general terms and conditions (fortnox.se/avtal-och-villkor).

6.2 If availability falls below 99.8% during a thirty (30) day period, this shall be regarded as a material breach by the App Developer, and the End User shall be entitled to terminate the Agreement with immediate effect, irrespective of section 12.2.

6.3 The App Developer is entitled to provide the App to the End User via its own service only in the event that availability is interrupted due to a decision taken by Fortnox, for example through termination of the contractual relationship between the App Developer and Fortnox.

7. Processing of Personal Data

7.1 The App Developer shall process personal data concerning the End User in accordance with applicable data protection legislation and other applicable law. The App Developer shall ensure that the End User has a lawful opportunity to invoke its rights in accordance with applicable data protection legislation. The App Developer's processing is further described in the Sidcom Privacy Policy.

8. Customer Data

8.1 The App acts as a transit layer between the End User's AI assistant and Fortnox. Business data passing through the App while a tool call is executing is not persisted, archived, or used to train models. The App Developer does not derive, retain, or analyse Customer Data beyond the duration of each request.

8.2 Authentication tokens issued by Fortnox and short-lived MCP session tokens issued by the App Developer are stored as described in the Sidcom Privacy Policy and deleted when the End User revokes access or the token expires.

9. Complaints

9.1 Any complaints regarding the App provided through Fortnox App-market shall be submitted to Fortnox by notice to avtal@fortnox.se. Fortnox will forward such complaints to the App Developer. The End User may also contact the App Developer directly at hello@sidcom.ai.

10. Payment and Invoicing

10.1 Payment for purchases of the App made in Fortnox App-market shall be made by the End User to Fortnox. Such purchases shall be invoiced in accordance with Fortnox's payment and invoicing terms set out in Fortnox's general terms and conditions. The App Developer shall notify the End User of any price changes at least thirty (30) days before they take effect.

10.2 The End User acknowledges and accepts that additional costs related to use of the App may arise that are not invoiced by Fortnox but by the App Developer or another third party in accordance with their respective payment and invoicing terms. The App Developer shall clearly notify the End User of any such costs in writing before they arise.

10.3 The End User has a thirty (30) day right of open purchase.

11. App Developer's Liability

11.1 The App Developer is responsible to the End User for all claims and complaints from/by the End User related to the App and the services it provides. The App Developer warrants that it holds all necessary rights, including intellectual property rights, to fulfil its obligations to the End User under this Agreement.

11.2 To the maximum extent permitted by applicable law, the App Developer's total liability for any claim arising out of or relating to the App is limited to the greater of (a) the fees paid by the End User to Fortnox for the App in the twelve (12) months preceding the claim, or (b) EUR 100. The App Developer is not liable for indirect, incidental, consequential or punitive damages, including loss of profits, revenues, or data.

12. Termination

12.1 In addition to what is set out in sections 6.2 and 12.2, the End User has the right to terminate this Agreement, and thereby use of the App, by written notice or through its Fortnox account under "Mitt Abonnemang". Termination must take place at least one (1) month before the next invoicing pursuant to section 10.1. If this Agreement is not terminated by the End User as set out above, it shall be automatically extended for the same period of time as the End User follows under Fortnox's Service Terms.

12.2 Both parties have the right to terminate the Agreement with immediate effect if the other party has committed a material breach of this Agreement and has not remedied the breach within thirty (30) days of written notice from the other party. In such case the End User is entitled to a refund of any amount paid in advance to Fortnox for use of the App and not consumed at the time of termination.

13. Changes to the Agreement

13.1 The App Developer undertakes not to enter into a Supplementary Agreement or to amend this Agreement to the disadvantage of the End User.

13.2 Amendments and additions to the Agreement are binding only if they are in writing and signed by both parties.

14. Applicable Law and Jurisdiction

14.1 Swedish law shall apply to the Agreement.

14.2 Any disputes between the App Developer and the End User shall be settled by the competent ordinary court in Sweden.
